Terms of Service
Version: October 5, 2026
New agreements: effective on acceptance. Existing agreements: see Section 22.
Last reviewed: October 5, 2026
These Terms of Service (the “Terms”) are a contract between you and INU Technologies Inc., a corporation incorporated under the laws of the Province of Ontario, with its official business address at 350 Bay St Suite 1300b, Toronto, ON M5H 2S6, Canada (“INU Technologies”, and, together with any of its affiliates that from time to time operate the Platform, “we”, “us”, or “our”). INU Technologies owns and operates the website at carfix.to, the CarFix mobile applications, and the related booking, messaging, and support tools (collectively, the “Platform”) under the brand name “CarFix”.
Where these Terms refer to “CarFix”, that name refers to the brand under which INU Technologies offers the Platform. The legal contracting party is INU Technologies Inc. The same operator identity appears on our Privacy Policy, on booking confirmations, and on any invoice issued by us, so that you know at all times the party with whom you are contracting.
By creating an account, using the Platform, submitting a quote request, or otherwise clicking to indicate acceptance, you agree to be bound by these Terms. If you are accepting on behalf of a shop, partnership, corporation, or other entity, you represent that you have authority to bind that entity and references in these Terms to “you” and “your” include that entity.
If you do not agree with any part of these Terms, you must not use the Platform.
IMPORTANT. CARFIX IS AN ONLINE MARKETPLACE. IT INTRODUCES CUSTOMERS TO INDEPENDENT AUTOMOTIVE SHOPS AND HELPS THEM COMMUNICATE AND SCHEDULE APPOINTMENTS. INU TECHNOLOGIES DOES NOT PERFORM, SUPERVISE, DIRECT, CONTROL, OR GUARANTEE ANY REPAIR, MAINTENANCE, DIAGNOSTIC, INSPECTION, DETAILING, TOWING, OR OTHER MOTOR-VEHICLE SERVICE. ALL SUCH SERVICES ARE PROVIDED BY THE SHOP YOU SELECT. THE CONTRACT FOR VEHICLE SERVICES, AND THE OBLIGATION TO PAY FOR THEM, IS BETWEEN THE CUSTOMER AND THE SHOP. WHERE A SHOP ACCEPTS ONLINE PAYMENT THROUGH THE PLATFORM, THE PAYMENT IS PROCESSED BY STRIPE, A THIRD-PARTY PAYMENT SERVICE PROVIDER, INTO THE SHOP'S OWN STRIPE ACCOUNT, AND THE SHOP IS THE MERCHANT OF RECORD. OTHER THAN ANY PAYMENT-FACILITATION FEE DISCLOSED UNDER SECTION 8.6, WHICH IS DEDUCTED FROM THE SHOP'S PROCEEDS, INU TECHNOLOGIES DOES NOT RECEIVE, HOLD, OR ROUTE THE PAYMENT FOR A VEHICLE SERVICE AT ANY TIME. SECTION 6.9 DESCRIBES WHEN WE MAY DISABLE ONLINE PAYMENT, AND THE LIMITED CASES IN WHICH WE MAY INSTRUCT STRIPE TO REFUND A PAYMENT FROM THE SHOP'S STRIPE ACCOUNT.
1. About CarFix and the Parties
1.1 The Operator
The Platform is owned and operated by INU Technologies Inc. The operator's full legal name, province of incorporation, official business address, and contact email are set out in Section 26, and the same operator identity is disclosed on our Privacy Policy and on each booking confirmation generated by the Platform.
1.2 What the Platform Does
Through the Platform, vehicle owners and other users looking for automotive services (“Customers”) may browse profiles of independent automotive businesses, repair facilities, detailers, body shops, and similar service providers (“Shops”); request written quotes; exchange messages with a Shop; accept a quote; and book an appointment. CarFix is a coordination and communications platform. It does not itself provide, and it is not a provider of, repair, diagnostic, maintenance, inspection, detailing, bodywork, towing, or any other motor-vehicle service. Where a Shop has enabled the Platform's online payment feature, a Customer may also use it to pay an invoice that Shop has issued (Section 7.2).
1.3 What the Platform Does Not Do
The Platform does not provide vehicle services, and INU Technologies is not a party to the contract for them. Payment for any repair, maintenance, diagnostic, inspection, detailing, bodywork, or other motor-vehicle service is owed by the Customer to the Shop. The Customer may pay the Shop directly, at or after the appointment, using methods accepted by that Shop (such as cash, debit card, credit card, or e-transfer), or, where the Shop has enabled online payment, may pay an invoice issued by the Shop through the Platform. An online payment is processed by Stripe into the Shop's own Stripe account, and the Shop is the merchant of record for it (Sections 6.9 and 7.2). Other than any payment-facilitation fee disclosed under Section 8.6, INU Technologies does not collect, hold, or remit the payment for a vehicle service, is not the merchant of record for it, and does not act as an escrow agent for it. Shop subscriptions are separate digital-product purchases governed by Section 8.
1.4 Informational Features
The Platform may provide informational features, including vehicle profiles, mileage-based service prompts, maintenance schedules, recall notifications relayed from the U.S. National Highway Traffic Safety Administration (NHTSA) and other third-party sources, warranty record-keeping, and Price Intelligence comparisons drawn from recorded service prices for completed appointments. These features are offered for convenience only. They are general in nature, are not professional mechanical or legal advice, are not safety or roadworthiness certifications, are not a warranty by us, and may be based on incomplete or generic data that does not reflect the specific condition, trim, recall status, or service history of a particular vehicle. Customers must exercise their own judgment and, where appropriate, consult a qualified inspector or the vehicle manufacturer.
2. Eligibility and Accounts
2.1 Legal Capacity, Age of Majority, and Parent or Guardian Involvement
You must be legally able to enter into a binding agreement under the law of your province or territory in order to create an account or to enter into these Terms. In Ontario the age of majority is 18; in other Canadian provinces and territories the age of majority is 18 or 19, depending on the jurisdiction. If you are below the age of majority in your province or territory, you may use the Platform only with the involvement and consent of a parent or legal guardian, and that parent or legal guardian accepts responsibility for your use of the Platform under these Terms. By creating an account you represent and warrant that (a) you meet the requirement above, or you are using the Platform with the involvement and consent of a parent or legal guardian who is responsible for that use, (b) you (or, if you are below the age of majority, your parent or legal guardian) have the legal capacity and authority to enter into these Terms, (c) the information you submit is true, accurate, current, and complete, and (d) your use of the Platform complies with applicable law. Shop-owner and other business accounts may be created only by an individual who is legally able to bind the business they represent.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials, for restricting access to your devices and sessions, and for all activity occurring under your account, whether authorized by you or not. You agree to notify us without undue delay if you know or suspect that your account has been accessed without authorization. We may require re-authentication, a password reset, or other security steps where we reasonably believe they are needed to protect the account or the Platform.
2.3 Account Accuracy
You agree to keep your registration, contact, vehicle, and, where applicable, business information current. We may suspend, restrict, or close accounts that contain information we reasonably believe to be inaccurate, misleading, incomplete, fraudulent, or otherwise inconsistent with these Terms.
2.4 Email Verification and Account Lifecycle
Where you create an account using an email address and password, you must prove ownership of the email address by clicking the activation link we send you at sign-up. Pending verification you can still browse the Platform, but certain actions (submitting a quote request, accepting a quote, sending a Shop quote response, or starting a subscription) are gated until you verify, and marketing communications are not sent to unverified addresses. An unverified account becomes eligible for daily cleanup thirty (30) days after creation only if it has no verified phone, linked Google or Apple identity, vehicle, quote request, appointment, Shop, or team membership, and no sign-in activity within the preceding ninety-one (91) days. If another person attempts to register the same email address after more than seventy-two (72) hours, the same ownership and activity protections apply before an abandoned record may be replaced. Accounts created through Google Sign-In or Apple Sign-In are treated as email-verified at the time of sign-in because the identity provider has already confirmed ownership of the email address.
2.5 Phone Verification
Customers and Shop owners must verify a phone number to complete account activation for features that require it, using a one-time code sent by SMS. Invited team members and administrators follow their separate account access requirements. Phone verification is used to protect against abuse, to confirm that the number we will use to share appointment-coordination information with a Shop is actually yours, and, where you have opted in, to support SMS-based multi-factor authentication. Verification codes are single-use and short-lived. You may add or change a phone number through the account verification flow; a new number must be verified before it replaces the existing number. To request removal of a phone number, contact privacy@carfix.to. Removing a number may affect access to features that require a verified phone.
2.6 Meaning of “Verified” or “Reviewed”
Where a Shop is displayed on the Platform with a status such as “verified” or “reviewed and approved”, that status means the following, and nothing more:
- (a) the Shop submitted business-identification details, including a business name, a physical address, and contact information, and those details appeared consistent with public records available to us at the time of onboarding;
- (b) the Shop's profile was reviewed by a member of our team for completeness and for obvious signs of fraud or misrepresentation before it went live; and
- (c) the Shop gave us written representations that it holds the licences, permits, insurance, and tax registrations required by law for the services it lists.
Verified or reviewed status does not mean that we have independently audited, inspected, or confirmed the current validity of a Shop's insurance, business licences, technician certifications, workmanship, safety practices, solvency, or ongoing compliance with any specific statute or regulation, and it is not an endorsement, certification, warranty, or guarantee by INU Technologies of quality, skill, legality, or fitness for a particular purpose. Customers should make their own enquiries before committing to a Shop.
3. Nature of the Marketplace
3.1 Independent Shops
Shops are independent businesses. They are not our employees, agents, partners, joint venturers, franchisees, or representatives. We do not control, and we are not responsible for, the methods, workmanship, diagnosis, parts selection, timing, staffing, premises, equipment, safety practices, employment arrangements, tax compliance, or customer-service conduct of any Shop.
3.2 The Service Contract Is Between Customer and Shop
When a Customer selects a Shop, accepts a quote, books an appointment, or authorizes work, the underlying contract for repair or other vehicle services is between the Customer and the Shop. INU Technologies is not a party to that contract and owes no obligation under it. Where the Customer pays the Shop through the Platform's online payment feature, the payment is made to the Shop under that contract; INU Technologies facilitates the payment through its payment service provider and does not become a party to the service contract or to the payment.
3.3 Province of Service
Repair, maintenance, and consumer-protection obligations differ from one province or territory to another. Each Shop must comply with the law of the place where the service is performed, including any applicable motor-vehicle repair legislation, consumer-protection legislation, sales-tax rules, and occupational-health and environmental rules. These Terms do not override rights a Customer has under the consumer legislation of the province or territory in which the service is performed, and nothing in these Terms limits a right that cannot be waived or limited by contract under that legislation.
3.4 No Guarantee of Outcome
We do not guarantee that any quote is the lowest available price; that any service will resolve a particular vehicle issue; that a Shop has the capacity, skills, or parts to complete a job on time; or that appointments, parts, or completion times will occur as expected. Diagnostic estimates are often preliminary and may change once the vehicle is inspected.
4. Pre-Contract Disclosure and Online Booking Flow
4.1 Information Shown Before Booking
Before a Customer confirms an appointment, the Platform will display, on or through the booking screen, (a) the name of the Shop, (b) a description of the service or services requested, (c) the price or price estimate provided by the Shop, (d) the Shop's stated cancellation and no-show rules, (e) any applicable warranty terms disclosed by the Shop, (f) the scheduled date and start time, and (g) these Terms and the Privacy Policy by link. The Customer can review and correct those details, including the vehicle information and the appointment time, before confirming the booking.
4.2 Booking Confirmation
When a Customer confirms a booking, the Platform will send a booking confirmation by email and store a copy in the Customer's account. The confirmation records the information described in Section 4.1 in a form the Customer can retain and retrieve. The Customer should keep the confirmation and raise any correction promptly with the Shop or with CarFix support.
4.3 Electronic Form
You agree that (a) booking confirmations, quote documents, messages exchanged through the Platform, notices, and other communications described in these Terms may be provided to you in electronic form, and (b) that electronic form satisfies any legal requirement that the communication be in writing or be delivered in a durable medium, to the extent permitted by applicable law.
5. Customer Terms
5.1 Quote Requests Are Non-Binding
Unless expressly stated otherwise, a quote request submitted through the Platform is a non-binding request for information. A Shop may decline, revise, withdraw, or allow a quote to lapse at any time before the Customer accepts it, subject to applicable law.
5.2 Accurate Vehicle Information
Customers must provide complete and accurate information about the vehicle and the issue, including make, model, year, trim (if known), VIN (if requested or voluntarily provided), mileage, symptoms, prior repair history that is relevant to the issue, and any photos or documents reasonably required for quoting. The accuracy of a quote or diagnosis depends on this information. INU Technologies is not responsible for a quote that turns out to be incorrect because a Customer omitted or misstated vehicle information.
5.3 Authorization of Work
Depending on the workflow used by a Shop, a booking, an in-app acceptance of a quote, a signed estimate, or another affirmative instruction may constitute the Customer's authorization for the Shop to perform the quoted work. Before authorizing work, the Customer should review the scope of work, the quoted amount, any stated exclusions, the cancellation rules, and any applicable warranty.
5.4 Estimates, Additional Work, and Provincial Repair Law
Provincial motor-vehicle repair law governs estimates, authorization, and additional work. For example, in Ontario, the Consumer Protection Act, 2002 and Ontario Regulation 17/05 generally require a repairer to provide a written estimate before charging for work unless the Customer declines an offered estimate and authorizes a maximum amount. The repairer must obtain the Customer's authorization for the work and may not exceed an estimate by more than 10%. Where an offered estimate is declined, the repairer may not exceed the authorized maximum amount. If authorization is not given in writing, the repairer must record it in the manner required by Ontario law. Requirements outside Ontario vary by jurisdiction and are not summarized here. The Shop is responsible for complying with the applicable rules. Customers should ensure they have received and authorized any estimate required by law before approving work.
5.5 Reviews and Feedback
Customers may submit reviews, ratings, photos, and related content about Shops they have actually used. Reviews must be based on genuine first-hand experience and must be accurate, lawful, not defamatory, and not misleading. We may moderate reviews in accordance with the policy described in Section 14.2.
5.6 Inspection-Visit Quotes (Inspect-First)
A Shop may respond to a quote request with an inspection-visit offer instead of a firm price when the Shop reasonably believes it cannot quote the work accurately without first seeing the vehicle. The offer states the inspection fee (which may be CA$0), the visit duration, and what the Shop will inspect. The Customer's acceptance of an inspection-visit offer creates a booking for the inspection visit only; it does not authorize, and does not pre-pay for, the underlying repair. After the inspection visit the Shop will provide a separate itemised repair quote, which the Customer may accept, decline, or negotiate. The offer may include a full or partial credit of the pre-tax inspection fee toward a repair performed by the same Shop. The Shop must honour the credit and conditions stated in the accepted offer; a partial credit does not make the entire inspection free. Where applicable repair law prohibits charging an estimate fee after the related work is authorized and performed, that rule applies regardless of whether the Shop offered a credit or separately confirmed it. Ontario's rule permits a limited exception when authorization cannot be obtained without unreasonable delay and the vehicle is reassembled before repair so it can be moved to free repair space. A separate diagnostic service is not automatically an estimate fee.
5.7 Customer-Supplied Parts (BYOP)
A Customer may flag one or more of the services in a quote request as services for which the Customer will supply the parts themselves (“Customer-Supplied Parts”). Shops that have opted in to Customer-Supplied Parts may respond with a labour-only quote for the flagged services; Shops that have not opted in are not shown those requests through the open-broadcast channel and are not obligated to accept them when the request is sent to them directly. The following additional terms apply to Customer-Supplied Parts:
- Suitability. The Customer is responsible for selecting parts that are correct for the vehicle and the job. The Shop may refuse to install parts that are damaged, counterfeit, recalled, mismatched, or otherwise unsuitable, and is not required to source replacement parts on short notice.
- Statutory and Shop warranty. In Ontario, the fixed statutory minimum can apply when a Shop installs a Customer-Supplied new or reconditioned part, including to the labour required to install it. A used part is outside that fixed 90-day or 5,000-kilometre minimum. Manufacturer, seller, and express Shop warranties may provide additional rights. Applicable law controls and cannot be reduced by these Terms.
- Handling and inspection fees. A Shop may charge a reasonable handling, intake, or inspection fee for receiving, verifying, or storing Customer-Supplied Parts. Any such fee is shown as a labour line on the quote.
- Loss or damage. Subject to applicable consumer-protection law, the Shop's liability for loss, damage, or unsuitability of Customer-Supplied Parts is limited to the Shop's own labour charge for that line item.
6. Shop Terms
6.1 Legal Compliance
Each Shop represents and warrants that, at all times while it uses the Platform, it holds and maintains all business licences, permits, registrations, certifications, technician qualifications (where applicable), tax registrations, and insurance required under the law of the province or territory in which it operates, and that it carries out its services in accordance with that law.
6.2 Profile, Quote, and Invoice Accuracy
Each Shop is solely responsible for the accuracy, completeness, legality, and timeliness of its profile, service listings, opening hours, availability, pricing, quotes, disclosures, invoices, receipts, and taxes, and for any representation made to a Customer through the Platform or by separate communication with that Customer.
6.3 Written Estimates and Authorizations
Each Shop is responsible for providing required written estimates and obtaining the Customer's authorization under applicable provincial motor-vehicle repair law. In Ontario, the Consumer Protection Act, 2002 and Ontario Regulation 17/05 require the Shop to record an authorization that is not given in writing in the prescribed manner. Requirements elsewhere may differ. The Platform's quote tools are provided to help Shops document the transaction, but the Platform does not and cannot guarantee compliance in any individual case, and the Shop remains the responsible party.
6.4 Insurance and Vehicle Custody
Each Shop is solely responsible for the vehicles, keys, tools, parts, premises, and property in its custody and for the employees, contractors, and subcontractors involved in its services. Each Shop must maintain commercially reasonable insurance appropriate to the services it provides, including any garage insurance, commercial general liability insurance, and statutory coverage required by law.
6.5 Responsiveness
Shops must respond to Customer inquiries, quote requests, cancellations, rescheduling requests, post-service concerns, and reasonable support enquiries from us within a reasonable time. We may measure response times and we may restrict a Shop's access to the Platform if responsiveness, complaint patterns, safety, or compliance concerns fall materially below our published standards.
6.6 Taxes
Each Shop is solely responsible for determining, charging where required, reporting, and remitting all federal, provincial, territorial, municipal, sales, excise, payroll, income, and other taxes that arise from its services and from its operation of its business. INU Technologies does not collect or remit taxes on behalf of any Shop in respect of services performed by that Shop.
6.7 Shop Warranty Obligations
Each Shop is solely responsible for any warranty it is required to provide by law or that it voluntarily offers in respect of its services. A non-exhaustive summary of statutory warranty obligations, as they apply at the date of these Terms, is set out below. Shops are expected to know the applicable rules in full and to keep up to date with changes.
- (a) Ontario. Section 63 of the Consumer Protection Act, 2002 deems the repairer to warrant covered new or reconditioned parts installed during the repair, and the labour required to install them, for at least 90 days or 5,000 kilometres, whichever comes first. Ontario Regulation 17/05, section 51, prescribes the repairer's written-invoice content, and section 52 prescribes exclusions from the fixed minimum.
- (b) Other provinces and territories. Statutory warranty rules vary by jurisdiction. Our repair-warranty information describes the regions reviewed, including Manitoba and Quebec, and the limits of the Platform's warranty summaries. Each Shop must comply with the rules applicable where the service is performed.
In Ontario, the Shop acting as repairer must provide the Customer with a written invoice when the repair is completed. That invoice must contain the information required by section 51 of Ontario Regulation 17/05, including the applicable repairer warranty or prescribed statutory statement, non-waiver wording, required odometer readings, parts classifications, and exclusions. A CarFix quote, receipt, or warranty summary does not replace the repairer's written invoice. A Shop may use the Platform's invoice tools to prepare and deliver its own invoice, but remains responsible for ensuring that the completed document includes all legally required information. A Shop may not use the Platform to contract out of, waive, or understate a statutory warranty.
The Platform may generate an informational warranty summary based on repair details provided by a Shop. The summary is not a legal determination of coverage, is not a warranty granted by INU Technologies, and does not shift the repairer's obligations to INU Technologies. INU Technologies is not a party to a warranty claim between a Customer and a Shop. A missing or inaccurate Platform record does not waive, reduce, or otherwise affect a statutory warranty, and a Platform record does not limit a longer or broader warranty the Shop offered. Each Shop remains responsible for its written invoice and for assessing and honouring applicable warranty claims.
6.8 Communications with Customers
Shops must not use contact information obtained through the Platform to send marketing or promotional messages unless the Customer has given the separate express marketing consent, or an exemption under Canada's Anti-Spam Legislation (S.C. 2010, c. 23) clearly applies. A service-related purpose does not by itself exempt a message from that law. Shops must meet any conditions for an exemption and include sender identification, contact information, and an unsubscribe mechanism wherever required.
6.9 Online Payments Through the Platform
Eligibility and onboarding. A Shop may accept online payment of its invoices through the Platform only if that Shop location has an eligible active or trialing paid subscription under Section 8, its owner has accepted these Terms in the version that first described online payments or a later version, and we have enabled online payment for that Shop. We may make the feature available to selected Shops before others. To accept online payments, the Shop must open and keep its own Stripe account through the Platform's onboarding flow, which Stripe hosts. Each Shop location is onboarded separately and has its own Stripe account, identity verification, and bank account. Stripe decides whether to approve the account and which payment methods it may accept, and the Shop manages the account in its own Stripe Dashboard.
Stripe Services Agreement. Payment processing services for Shops on CarFix are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a Shop on CarFix, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of CarFix enabling payment processing services through Stripe, you agree to provide CarFix accurate and complete information about you and your business, and you authorize CarFix to share it and transaction information related to your use of the payment processing services provided by Stripe. Our payment processor can obtain information from credit agencies to verify your identity. That information will be used for the purposes described in their Privacy Policy.
Merchant of record, fees, and payouts. The Shop is the merchant of record for every online payment of its invoices. For a card payment, the Customer's statement shows the statement descriptor of the Shop's Stripe account. Stripe sets it during Stripe-hosted onboarding, normally from the Shop's business name, which CarFix provides when the account is created, and otherwise from other details of the Shop's Stripe account or from a descriptor the Shop enters; the Shop can change it in its Stripe Dashboard. We may leave online payment disabled, or disable it, for a Shop while its descriptor does not identify the Shop. Stripe sends only the first 22 characters of the descriptor for a card payment, so a longer one appears shortened. For a pay-over-time payment, the Customer pays the financing provider directly, and the Customer's statement names that provider. Stripe pays the proceeds out to the Shop's bank account on the payout schedule of the Shop's Stripe account. The Shop pays Stripe's processing fees under its own agreement with Stripe and is responsible for refunds, chargebacks, disputes, reversals, and any negative balance on its Stripe account. Any payment-facilitation fee we charge is governed by Section 8.6.
Refunds and disputes. The Shop handles refund requests, responds to chargebacks and disputes, including through its own Stripe Dashboard, and honours the refund and cancellation rights the Customer has under applicable law. Where a Customer is charged more than once through the Platform for the same invoice, or a payment is completed after the Shop has voided the invoice, the Shop authorizes us to instruct Stripe to refund that payment in full to the Customer from the Shop's Stripe account. We do not otherwise issue refunds of online payments on a Shop's behalf.
Prices and pay-over-time methods. The Shop must not charge more for an invoice paid online through the Platform, or paid with a particular online payment method, than it charges for the same invoice paid by any other method, whether through a higher price, a fee, or a surcharge. Pay-over-time methods are offered by third-party financing providers such as Klarna and Affirm, are available only to Shops located in Canada or the United States, and are subject to those providers' rules. Whenever a pay-over-time method is active on the Shop's Stripe account, we will make the marketing guidelines of the provider concerned available to the Shop in its CarFix payment settings. The Shop must not advertise or promote a pay-over-time method other than through the payment messaging the Platform displays, unless it follows those guidelines, and must not mention Klarna or Affirm, or use their marketing materials, in any text message or similar communication without that provider's prior written consent. The Shop and its staff must not apply for pay-over-time financing on a Customer's behalf, or have a Customer apply on a device other than the Customer's own or a business device the provider has approved. The Shop must make its refund policy available to the Customer before payment, for example on its invoice, and must refund a pay-over-time payment through Stripe in accordance with that policy, not as store credit. The Shop must not use, or allow the use of, a pay-over-time method to pay for goods or services supplied to a business, or by a person who might reasonably be considered to share a financial interest with the Shop, including the owners, directors, and employees of the Shop or of any affiliated company.
Suspension. We may disable or suspend online payment for a Shop, for all Shops, or for a particular invoice at any time, including where Stripe, a card network, or a financing provider requires it, where we suspect fraud, error, or a breach of these Terms, or where the Shop's subscription or account is not in good standing. Disabling online payment does not affect payments already completed or the Shop's obligations for them, and the Shop may continue to accept payment directly under Section 7.2. If Stripe tells us that it has rejected, suspended or terminated a Stripe account of the Shop, or that it is reviewing one, online payment stays disabled for that Shop until Stripe restores the account, and we will not create another Stripe account for that Shop unless Stripe approves, even if the account is later closed or disconnected. The Shop's subscription and the rest of the Platform are not affected unless we suspend or terminate the Shop's access or subscription under Section 17. In any other case, if the Shop's Stripe account is closed or disconnected, the Shop may connect a new Stripe account through the Platform, subject to the rest of this Section 6.9.
Information. We receive from Stripe, and keep with the Shop's invoice records, the payment information described in Section 3.7A of our Privacy Policy, including the payment status, amount, currency, payment-method type, card brand and last four digits where available, any decline or failure code, refund and dispute status, and Stripe identifiers. We do not store the billing details a Customer enters in Stripe's payment form; the Shop finds them, and responds to disputes, in its own Stripe Dashboard. The Shop's Stripe account continues to exist, under the Shop's agreement with Stripe, if the Shop stops using the Platform.
7. Appointments and Shop Payment
7.1 How Bookings Work
A booking is a scheduled appointment between a Customer and a Shop. The Platform records the appointment details, sends confirmations and reminders, and allows the Customer and the Shop to communicate. No deposit or other amount is collected from the Customer through the Platform when a booking is made, and INU Technologies is not a party to the service contract between the Customer and the Shop. Where a Shop offers online payment, it is available only for an invoice the Shop issues after the service (Section 7.2). Acceptance of a quote or another authorization may create obligations before the appointment, as described in Section 5.3.
7.2 Payment for Services
The Customer pays the Shop for the services performed. The Customer may pay the Shop directly, at or after the appointment, using a method accepted by that Shop, such as cash, debit card, credit card, or e-transfer. Where the Shop has enabled online payment, the Customer may instead pay an invoice the Shop has issued through the Platform, using a payment method offered at checkout. Those methods can include cards and, for Shops located in Canada or the United States, pay-over-time options offered by third-party financing providers such as Klarna or Affirm, which are subject to the provider's own terms, eligibility rules, and approval decision. The amount of the Shop's invoice does not change with the online payment method chosen, and the Shop may not charge more for an invoice paid online, or by a particular online method, than for paying the same invoice any other way (Section 6.9). Any credit under a pay-over-time option is extended by the financing provider or one of its lending partners, not by the Shop or INU Technologies, and the credit terms, which the Customer sees before accepting them, set out any interest or fees charged for the credit.
Online payments are processed by Stripe into the Shop's own Stripe account. The Shop is the merchant of record. For a card payment, the Customer's statement shows the statement descriptor of the Shop's Stripe account; for a pay-over-time payment, it names the financing provider, which the Customer pays directly. Other than any payment-facilitation fee disclosed under Section 8.6, INU Technologies does not receive, hold, or route the funds. Refunds, credits, chargebacks, and disputes about an online payment are handled by the Shop as merchant of record, subject to the rules of the card network or financing provider concerned and to the Customer's rights under applicable law; Section 6.9 describes the limited cases in which we arrange a refund. A Shop may use the Platform to create, issue, and send its invoices and receipts, including PDF documents. These documents are issued by the Shop to the Customer. A “Paid” status on an invoice means that the invoice was paid through the Platform's online payment feature and that Stripe confirmed the payment. An invoice settled directly with the Shop, including one a Shop recorded as paid before online payment was available on the Platform, is shown as completed, not as paid through the Platform, and INU Technologies does not collect or independently verify a payment made directly to the Shop.
7.3 Pricing Transparency
Shops must include known mandatory fixed charges, such as required shop supplies or disposal fees, in advertised and quoted prices, except for government-imposed charges that applicable law permits to be stated separately. Taxes and contingent charges, including any storage fees, must be clearly disclosed. Additional work identified during inspection requires the Customer's authorization before it is performed or charged, subject to the estimate and maximum-amount rules described in Section 5.4.
7.4 Cancellation by the Customer
A Customer may cancel a confirmed appointment. Direct in-app self-service cancellation is normally available for sixty (60) minutes after the appointment is confirmed. After that window, contact the Shop through the Platform or using its contact details to arrange cancellation. If you cannot reach the Shop, contact CarFix support. We ask Customers to cancel at least twenty-four (24) hours before the scheduled start time, and to follow any different notice period disclosed by the Shop, so that the Shop can release the slot to another Customer. No deposit is collected through the Platform when a booking is made, and neither INU Technologies nor the Platform imposes a monetary cancellation or no-show charge. A cancellation by the Customer therefore does not result in a charge through the Platform, or a refund by INU Technologies.
A late cancellation (being a cancellation made before the scheduled start time but within the Shop's disclosed cancellation-notice period) or a no-show is recorded against the Customer's account as an attendance flag. The flag is visible to us and may be visible to the Shop involved. Repeat flags may result in restrictions on the Customer's use of the Platform as described in Section 17 (for example, a requirement to confirm appointments shortly before the scheduled start time, a reduction in the number of concurrent bookings permitted, or, in serious or repeated cases, a suspension of booking privileges).
7.5 Cancellation or Reschedule by the Shop
A Shop may cancel or reschedule an appointment through the Platform, with as much advance notice as reasonably possible. Cancellation and rescheduling actions are recorded in the appointment history. We may review those records and reports that a Shop was not ready at the scheduled start time. Repeated reliability problems may result in reduced search placement, loss of verified status, or, in serious or repeated cases, restriction or suspension of the Shop's use of the Platform as described in Section 17.
7.6 No-Shows
A no-show occurs where a Customer does not arrive at a booked appointment and does not cancel in advance. A Shop can normally mark a confirmed appointment as a no-show once at least fifteen (15) minutes have passed after the scheduled start time. A Customer cancellation made at or after the scheduled start may also be recorded as a no-show where the Customer did not attend; a cancellation before the scheduled start is not a no-show. A no-show is recorded against the Customer's account as described in Section 7.4. A Shop may decline to rebook a Customer who has had repeat no-shows. Neither INU Technologies nor the Platform imposes a monetary no-show charge, and no funds are held, and no amount is authorized on a payment method, through the Platform on account of a booking. A Shop may not impose a no-show charge on a Customer unless that charge was disclosed at the time of booking in a manner that complies with the applicable provincial consumer-protection legislation and applicable motor-vehicle repair law.
7.7 Service-Related Disputes
A dispute concerning the scope, price, quality, diagnosis, timing, or workmanship of a service is primarily between the Customer and the Shop. We may, but are not obliged to, assist in facilitating communication, collecting records, or preserving message history for dispute-resolution purposes. Any such involvement by us is in our capacity as operator of the Platform and does not make us a party to the service contract.
8. Shop Subscription Fees
8.1 Subscription Plans
All In One is the single paid Shop plan and is priced at the standard monthly price shown in Stripe Checkout before applicable tax. The thirty (30) day free trial is offered once per Shop owner account. A Shop receives it when starting its first subscription only if neither that Shop nor any other Shop under the same owner has prior subscription history or a redeemed CarFix Early Partners offer. Restarting a subscription, or adding a further location, does not create a new trial entitlement. A Shop that qualifies for the CarFix Early Partners Promotional Prices offer then receives 50% off that standard monthly price for each of the next three paid monthly billing periods, after which the subscription renews at the then-current standard monthly price. Early Partners eligibility is determined before checkout, is limited to one introductory offer per Shop owner account across all of that owner's Shops, and is not transferable. A payment method is required when the trial begins. Annual billing is not offered at this time.
8.2 Seller and Billing Provider
New subscriptions are purchased through Stripe Managed Payments. Stripe's affiliate Sold through Link, LLC (“Link SMP”) acts as merchant of record for these purchases, and Stripe Payments Canada, Ltd. facilitates Canadian retail payment activities. The Checkout page, card statement, receipts, and invoices may identify the purchase as “Sold through Link”. Link SMP charges the payment method, calculates and handles applicable indirect tax, issues transaction documents, and provides transaction-level support. INU Technologies supplies and operates the CarFix digital product under these Terms. Link's Purchase Terms and Privacy Policy also apply to the purchase. Existing subscriptions created through standard Stripe Payments processing may continue until they are canceled or moved through an assisted migration, and their historical invoices remain available. Neither billing flow is used for payments between Customers and Shops for vehicle services; online payment of Shop invoices is described in Sections 6.9 and 7.2.
8.3 Renewal, Changes, and Cancellation
Subscriptions renew automatically each month. The free trial converts to the applicable paid price unless canceled before the first charge. The Early Partners discount applies to three paid monthly billing periods, and then automatically returns to the then-current standard monthly price. A Shop may cancel through the CarFix billing page or Link's subscription-management tools. Cancellation normally takes effect at the end of the current billing period. We may change future prices or features on advance notice, but will not shorten an already granted Early Partners offer. A Shop that does not accept a future change may cancel before it takes effect.
8.4 Failed Payments and Suspension
Stripe manages payment collection, retries, account-updater services, and subscription status under the applicable billing configuration. Retry timing and the outcome of unsuccessful collection can vary; we do not promise a fixed seven-day grace period. CarFix paid features, including receiving new bookings, are available while the subscription is active or trialing. They may be suspended when Stripe reports a past-due, unpaid, paused, canceled, or otherwise inactive subscription. Access is restored when the billing provider confirms an eligible active status. Update your payment method or follow the payment link in the billing notice to resolve a failed payment. Suspension does not itself cancel the subscription or forgive accrued charges. Any mandatory notice or cancellation rights continue to apply.
8.5 Billing Disputes
A Shop that believes a subscription charge was made in error may contact billing@carfix.to or Link support, with supporting documentation. Link SMP provides transaction-level support and may review or issue a refund under its applicable purchase terms. We will assist with a provider review and, where a CarFix error is confirmed, promptly request the appropriate credit or refund. Nothing in this Section limits a Shop's rights under mandatory law or its right to contact its payment-method issuer.
8.6 No Per-Lead or Commission Charges; Payment-Facilitation Fee
We do not charge commissions on completed services or per-lead charges. Where a Shop accepts online payments through the Platform (Section 6.9), we may charge a payment-facilitation fee, set as a disclosed percentage or amount of each online payment. The fee is deducted from the Shop's proceeds of that payment through Stripe, is separate from the processing fees Stripe charges the Shop under the Shop's own agreement with Stripe, and is never added to the amount the Customer pays. The payment-facilitation fee is currently zero. We will not introduce or increase it, or introduce any other new fee, without giving notice under Section 22, and Shops will have the opportunity to cancel before any new or increased fee takes effect.
8.7 Multiple Locations
A Shop owner may operate more than one physical location on the Platform. Each location has its own subscription and approval status. An approved location in a supported service area may be publicly listed on the Free plan, unless it is designated unlisted. Receiving new bookings and using paid features requires that location's own eligible active or trialing subscription. Subscription tiers, plan features, and billing cycles are evaluated per location; a paid plan held by one location does not entitle another location under the same owner to equivalent features. The free trial and the CarFix Early Partners offer are available to one location per owner; a further location subscribes at the standard monthly price from its first billing period. The Shop owner may add a draft location at any tier (including the Free tier) for setup purposes. Public listing depends on approval and service-area availability; cancellation or a payment problem may restrict paid features without removing the listing.
8.8 Shop-Funded Promotions
A Shop may offer promotions such as a first-visit discount, a returning-customer discount, or a free inspection, subject to the offer's stated scope, eligibility, and availability. For first-visit offers, the Customer must have no completed appointment with that Shop and no active first-visit redemption already reserved or used there. A canceled or no-show appointment alone does not make a Customer a returning customer. Returning-customer offers require a completed appointment with the Shop; free-inspection offers do not require first-visit status. Offer limits are configured for the Shop's plan. The discount is the Shop's own marketing expense and is applied as a reduction to the Shop's invoice to the Customer at the time of service; INU Technologies does not fund, reimburse, advance, or otherwise carry the cost of the discount, and does not receive or hold the payment for the service, other than any payment-facilitation fee disclosed under Section 8.6 (Sections 6.9 and 7.2). An eligible Customer sees the applicable promotion terms before accepting the quote; acceptance creates a contract between the Customer and the Shop, and the Shop is responsible for applying the discount as offered. INU Technologies has no liability if the Shop fails to apply an advertised promotion, except as required by applicable consumer-protection law.
9. Messaging, Notifications, and Consent
9.1 Service-Related Electronic Communications
By creating an account, submitting a quote request, or booking an appointment, you consent to receive electronic communications from us that are directly related to the service you requested. These include booking confirmations, reminders, rescheduling notices, quote responses, post-service follow-ups, account-security alerts, warranty and recall notifications for vehicles you have added to your garage, policy updates, and other service-related messages, including Shop-issued invoice and receipt delivery described in Section 7.2. These messages do not, by themselves, authorize marketing. A consent exemption applies only where the message meets its legal conditions. Required sender identification, contact information, and unsubscribe options still apply unless a separate legal exemption covers those requirements.
9.2 Marketing Communications (Separate Opt-In)
Creating an account, submitting a quote request, or booking an appointment does not, by itself, constitute consent to receive marketing or promotional messages. We will only send marketing emails, SMS messages, or push notifications where you have given separate express consent, typically through an unchecked opt-in box or equivalent affirmative action. Consent is recorded at the time it is given, and you may withdraw it at any time by using the unsubscribe link in an email, replying STOP to an SMS, turning off push notifications in your device or account settings, or emailing privacy@carfix.to. Marketing consent is separate from necessary service-related communications described in Section 9.1. Turning off a delivery channel, including replying STOP to SMS or disabling device push notifications, can also stop service messages on that channel; other permitted channels may remain available. This does not restrict any right to unsubscribe from other messages under applicable law.
9.3 In-App Messaging
The Platform provides in-app messaging between Customers and Shops. Messages may be text, file attachments (including photos), or short voice recordings (“voice messages”). By using the messaging feature you consent to the retention of message text, voice recordings, file attachments, and related metadata (including timestamps, read receipts, and audio duration) for the purposes of service coordination, support, dispute handling, quality review, legal compliance, and platform operation. Voice messages are subject to the retention periods, deletion rights, and access controls described in the Privacy Policy.
10. User Content
10.1 Ownership
You retain ownership of the content you submit to the Platform, including reviews, ratings, photos, videos, vehicle information, messages, and documents (“User Content”), subject to the licences you grant under this Section 10.
10.2 Licence for Public User Content
For User Content that you publish to areas of the Platform that are accessible to other users or to the public (including Shop reviews, ratings, and any photos attached to a public review), you grant INU Technologies a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify for formatting, translate, display, distribute, transmit, and otherwise use that User Content, in connection with the operation and promotion of the Platform, including in marketing or publicity materials. This licence survives termination of your account for User Content that has been published to other users or to the public and that you have not removed before termination.
10.3 Licence for Private Service-Coordination Content
For User Content that you submit privately in order to obtain, manage, or carry out a service (including messages between a Customer and a Shop, private photos attached to a quote or appointment, vehicle identification numbers, mileage logs, and documents uploaded to your garage), you grant INU Technologies a worldwide, non-exclusive, royalty-free, and sublicensable licence to host, store, reproduce, display, and transmit that User Content solely as reasonably necessary to operate the Platform, to deliver the service you requested, to respond to support requests, to investigate fraud or abuse, to resolve disputes, and to comply with law. This licence does not authorize use of that private User Content for marketing or publicity.
10.4 Content Standards
You must not submit User Content that is false, misleading, fraudulent, defamatory, harassing, discriminatory, obscene, invasive of another person's privacy, infringing, unlawful, or otherwise objectionable. We may remove, edit for formatting, or restrict access to User Content for the reasons set out in these Terms or as required by law.
10.5 AI Training
We do not use your User Content to train third-party generative artificial intelligence models. We may use aggregated or de-identified data derived from Platform activity to improve the Platform's own features (such as fraud-detection rules, search relevance, and service quality signals).
11. Price Intelligence and Pricing Guidance
The Platform may display Price Intelligence comparisons for selected services, vehicle makes and models, and regions. These comparisons use aggregated parts and labour prices recorded for completed Platform appointments and Shop-entered walk-in jobs. They reflect recorded service prices, not independently verified amounts paid. Comparisons are shown only where sufficient matching records are available; no static price fallback is supplied when there is insufficient data. This feature does not use or send your input to a third-party generative artificial intelligence service. You acknowledge that:
- (a) pricing comparisons are informational only, may contain errors or omissions, and are not a substitute for professional mechanical, legal, or financial advice;
- (b) any price or range displayed is not a quote, does not bind any Shop, and does not bind us; only a Shop can issue a binding quote for its services; and
- (c) you are responsible for reviewing the output before acting on it, and for making the final decision about whether to proceed with a service.
12. Recall Notifications
Where you have added a vehicle with a valid VIN to your garage, the Platform may display recall notifications based on data obtained from the U.S. National Highway Traffic Safety Administration (NHTSA). A lookup may fall back to vehicle make, model, and model year when a VIN lookup does not return results. A matching campaign therefore does not confirm that your specific VIN is affected, that a repair is outstanding, or that all applicable Canadian recalls are included. These notifications are relayed as a convenience. We do not originate recall data, we do not guarantee that the data we receive is complete or current, and we are not the safety regulator. The absence of a notification on the Platform does not mean that no recall affects your vehicle. You should continue to check with the vehicle manufacturer, Transport Canada or the relevant regulator, and your dealer for authoritative recall information.
13. Third-Party Services and Links
The Platform integrates with and links to third-party services, including maps, payment processors (for Shop subscription billing and, where a Shop has enabled it, the online payment of Shop invoices under Sections 6.9 and 7.2), financing providers a Customer chooses at checkout, identity providers, and VIN lookup services. We do not control those third-party services. Your use of them may be subject to separate terms and privacy policies. We are not responsible for the availability, content, accuracy, or practices of any third-party service, and references on the Platform to a third-party service do not imply an endorsement.
Our integrations with Google services (Sign in with Google and Google Maps Platform) are governed by the Google API Services User Data Policy, including the Limited Use requirements. A complete description of what data we receive from each Google integration, how it is used and stored, and how to disconnect or request deletion is set out in Section 8 of our Privacy Policy at carfix.to/privacy. By using the Platform you acknowledge that you have had an opportunity to review that disclosure.
14. Prohibited Conduct and Moderation
14.1 Prohibited Conduct
You agree that you will not, and you will not assist any third party to:
- (a) submit false, misleading, manipulated, or fraudulent information;
- (b) create fake accounts, fabricate quotes, inflate reviews, or engage in review exchange arrangements with other users;
- (c) impersonate another person or entity;
- (d) harass, threaten, intimidate, extort, stalk, or abuse another user or a member of our team;
- (e) use the Platform for any unlawful, deceptive, or harmful purpose;
- (f) interfere with, disrupt, or probe the Platform, its servers, networks, or security features;
- (g) scrape, crawl, copy, or harvest content or data from the Platform by automated means, except as expressly authorized by us in writing or, for indexing purposes, in accordance with our robots.txt;
- (h) use contact information obtained through the Platform to circumvent these Terms or to send marketing messages without the consent required by law;
- (i) upload malware, malicious code, or harmful files;
- (j) infringe the intellectual-property, privacy, publicity, or other rights of any person; or
- (k) use the Platform in a manner that could expose INU Technologies or any other user to legal liability.
14.2 Review Moderation Policy
Reviews of Shops are moderated in accordance with a published policy, summarized here:
- (a) We remove reviews that we reasonably determine to be fake, incentivized, posted by someone with an undisclosed relationship to the Shop (such as a competitor or an employee), defamatory, unlawful, obscene, harassing, in breach of privacy, or unrelated to the service actually provided.
- (b) We do not remove a review merely because it is critical, one-star, or unfavourable to the Shop. Negative reviews that meet the standards in Section 5.5 are not removed on that basis.
- (c) Appeal. A Customer whose review is removed may appeal by emailing support@carfix.to or replying to the moderation support conversation within thirty (30) days of the removal notice. We will respond in writing and, if the decision is overturned, will restore the review.
We do not edit the substance of a review. We may correct obvious formatting or encoding issues. We do not shape reviews to favour a Shop in exchange for payment or as part of any paid placement.
15. Intellectual Property
The Platform, including its software, code, user interfaces, visual design, brand features (including the CarFix name and logo), compilations, and content we create, is owned by or licensed to INU Technologies and is protected by copyright, trademark, and other laws. Except for the limited right to access and use the Platform in accordance with these Terms, no intellectual-property right is transferred to you. You must not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, or otherwise exploit the Platform or any part of it except to the extent permitted by law or with our prior written consent.
16. Privacy and Data
Your use of the Platform is also governed by our Privacy Policy, which describes what personal information we collect, how we use and disclose it, where we store it, how long we keep it, and the rights you have under the Personal Information Protection and Electronic Documents Act (PIPEDA), the Act respecting the protection of personal information in the private sector (Quebec, often referred to as Law 25), and other applicable privacy legislation. By using the Platform you acknowledge that we may process personal information in accordance with that Policy.
17. Suspension and Termination
17.1 By You
You may stop using the Platform at any time. A Customer may request account deletion through account settings. A Shop may cancel its subscription in accordance with Section 8.3; subscription cancellation does not itself delete the account or the Shop's records. An account that owns a Shop, or has authored certain internal Shop notes, requires support assistance to transfer, close, or resolve those records before deletion can be scheduled.
For an eligible standard deletion request, the account is deactivated and scheduled for erasure after a thirty (30) day grace period. Existing sessions are revoked. Signing back in during that period cancels the pending deletion and reactivates the account; you may also contact our Privacy Officer (Section 26) for assistance. After the grace period, daily cleanup erases or anonymizes eligible account information as described in Section 12 of the Privacy Policy. Erasure may be deferred while an unresolved dispute or another retention obligation remains. Records retained under that Policy, including issued invoice snapshots and legally required tax or breach-incident records, are not necessarily erased with the account.
17.2 By Us, for Safety or Fraud
We may suspend or terminate your access, or remove content, immediately and without prior notice, where we reasonably believe that doing so is necessary to protect the safety or security of the Platform, our users, or a third party, or to prevent or respond to fraud, credential compromise, unlawful activity, payment-network risk, or a violation of law. We will give notice of the action as soon as reasonably practicable afterwards.
17.3 By Us, for Breach or Other Reasons
In cases other than those described in Section 17.2, we may suspend or terminate a Shop's subscription, or a Customer's account, on fourteen (14) days' written notice by email, for material breach of these Terms that has not been cured during the notice period, or for other good cause. Any subscription fee a Shop has paid for the unused remainder of the then-current billing period will be refunded on a pro-rated basis, except where the termination was for breach by the Shop. Any longer notice period, restriction on termination, or refund right required by applicable consumer-protection law takes precedence.
17.4 Appeal
A Shop or Customer who believes that a suspension or termination was made in error may appeal by emailing support@carfix.to within thirty (30) days of the notice. We will consider the appeal and issue a written decision within thirty (30) days of receiving it. The internal appeal process does not prejudice any legal right the Shop or Customer may have.
17.5 Effect of Termination
Termination does not release you from obligations that accrued before termination, including obligations to pay accrued subscription fees, indemnity obligations, and liability for prior conduct. The sections listed in Section 24 survive termination.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL FEATURES OFFERED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES, REPRESENTATIONS, CONDITIONS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL.
WITHOUT LIMITING THE FOREGOING, WE DISCLAIM ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, AND SATISFACTORY QUALITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY SHOP, QUOTE, REVIEW, APPOINTMENT, DIAGNOSIS, RECOMMENDED PART, RECALL NOTIFICATION, OR AUTOMATED OUTPUT WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.
NOTHING IN THIS SECTION 18 EXCLUDES A WARRANTY, CONDITION, OR RIGHT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, AND NOTHING IN IT LIMITS A CUSTOMER'S RIGHTS UNDER APPLICABLE CONSUMER-PROTECTION LEGISLATION.
19. Limitation of Liability
19.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INU TECHNOLOGIES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, VEHICLE USE, BUSINESS INTERRUPTION, TOWING OR SUBSTITUTE TRANSPORTATION COSTS, DIMINUTION IN VALUE, OR DATA LOSS, ARISING OUT OF OR RELATED TO THE PLATFORM OR ANY SERVICES ARRANGED THROUGH IT, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
19.2 Aggregate Cap
SUBJECT TO SECTION 19.3, THE AGGREGATE LIABILITY OF INU TECHNOLOGIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL SUBSCRIPTION OR OTHER FEES YOU ACTUALLY PAID TO INU TECHNOLOGIES IN THAT PERIOD, AND (b) ONE HUNDRED CANADIAN DOLLARS (CA$100.00). AMOUNTS A CUSTOMER PAYS TO A SHOP THROUGH THE PLATFORM ARE PAID TO THE SHOP, NOT TO INU TECHNOLOGIES; SECTION 19.3(f) APPLIES TO A PAYMENT ERROR.
19.3 Conduct Not Subject to the Cap
The limitations in Sections 19.1 and 19.2 do not apply to, and no cap under these Terms shall reduce our liability for, (a) our own gross negligence, wilful misconduct, or fraud, (b) our own breach of the Privacy Policy or of applicable privacy legislation where that breach was caused by our gross negligence or wilful misconduct, (c) death or personal injury caused by our negligence, (d) any liability that cannot be limited or excluded under applicable law (including non-waivable consumer-protection rights), (e) an amount owed by us as a refund of a Shop's subscription fee where the refund is properly due under Section 8 or Section 17, or (f) the amount of an online payment through the Platform that was charged in error, or charged more than once for the same invoice, because of our own act or omission, to the extent that amount has not been refunded.
19.4 Application
The limitations in this Section 19 apply regardless of the form or theory of liability (whether in contract, tort, negligence, strict liability, statute, or otherwise) and even if a limited remedy fails of its essential purpose.
20. Indemnity
20.1 Customer Indemnity
A Customer agrees to indemnify and hold harmless INU Technologies and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, demands, actions, proceedings, liabilities, damages, losses, and reasonable legal fees arising out of or related to (a) the Customer's breach of these Terms, (b) the Customer's unlawful use of the Platform, (c) the Customer's User Content, or (d) the Customer's violation of the intellectual-property, privacy, or other rights of a third party. This indemnity does not extend to losses caused by our negligence, wilful misconduct, or breach of these Terms.
20.2 Shop Indemnity
A Shop agrees to indemnify and hold harmless INU Technologies and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, demands, actions, proceedings, liabilities, damages, losses, and reasonable legal fees arising out of or related to any of the following: the Shop's services (including workmanship, diagnosis, parts, timing, and warranty performance); the Shop's custody of, or damage to, vehicles, keys, or other property; personal injury or property damage caused by the Shop or its employees, contractors, or subcontractors; the Shop's tax matters, employment matters, and regulatory compliance; the accuracy of information the Shop supplies through the Platform; the Shop's acceptance of online payments, including refunds, credits, chargebacks, disputes, reversals, and any negative balance on the Shop's Stripe account, and any fine, assessment, or loss charged by Stripe, a card network, or a financing provider because of the Shop's conduct; and the Shop's breach of these Terms or of its agreement with Stripe. This indemnity does not extend to losses caused by our negligence, wilful misconduct, or breach of these Terms.
20.3 Defence
We may, at our option and expense, assume the exclusive defence and control of a matter otherwise subject to indemnification under this Section 20. You agree to cooperate with any such defence.
21. Disputes Between Users
A dispute about a service, quote, diagnosis, workmanship, scope, price, timing, warranty, vehicle condition, property damage, or similar matter is primarily between the Customer and the Shop. We may, but are not obliged to, assist in facilitating communication, collecting records, or preserving message history. Any such assistance is provided in our capacity as operator of the Platform and does not make us a party to the dispute or create any duty on us to investigate, adjudicate, or resolve it in any particular way. Either party remains free to pursue any remedy available at law. A dispute about an online payment, including a card chargeback or a dispute raised with a financing provider, is between the Customer and the Shop as merchant of record and is resolved under the rules of the card network or financing provider concerned. INU Technologies is not a party to it, but may provide the records it holds where the law and those rules allow. A question or complaint about a pay-over-time plan itself, such as its approval, repayments, interest, or fees, is between the Customer and the financing provider, together with any lending partner that extended the credit, under the provider's own terms and the credit terms (Section 7.2).
22. Changes to the Platform and to These Terms
We may modify, suspend, or discontinue features of the Platform, and we may update these Terms from time to time. If we make a material change to these Terms, we will give individual notice by email or in-app notice on the Platform at least thirty (30) days before the change takes effect, unless a shorter period is required by law, is needed to address a security or legal risk, or is agreed by you. The notice will state the effective date of the change and how to review the updated Terms. Your continued use of the Platform does not replace any required express acceptance. Our notice identifies the changed clauses, the prior and proposed wording, the effective date, and available refusal and cancellation rights. We record the version and date of each acceptance. Complete prior versions remain available in our legal document archive and through support@carfix.to. Where applicable law requires a particular form or content of notice, express consent, or a right to refuse a change or cancel without penalty, those requirements take precedence over this Section.
23. Governing Law, Jurisdiction, and Language
23.1 Governing Law
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
23.2 Jurisdiction
Subject to Section 23.3, each party agrees that the courts located in the City of Toronto, Ontario, have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Platform. A Customer who is a consumer and who is resident in a Canadian province or territory retains the right to bring or defend proceedings in the courts of the province or territory in which the consumer resides, to the extent required by applicable consumer-protection legislation.
23.3 Non-Waivable Consumer Rights
Nothing in these Terms excludes, restricts, or modifies a right or remedy that a consumer has under applicable provincial or federal consumer-protection legislation that cannot be excluded, restricted, or modified by contract. Provincial legislation that may apply includes the Consumer Protection Act, 2002 (Ontario), the Consumer Protection Act (Quebec), the Business Practices and Consumer Protection Act (British Columbia), the Consumer Protection Act (Alberta), and comparable legislation in other provinces and territories.
23.4 Language
The complete Terms and Privacy Policy are available in French and English through the same document-delivery process. The French versions are made available before acceptance. You may then expressly choose English as your contract language or continue in French. Interface-language settings do not themselves record that choice. We retain the document versions, language choice, delivery receipt, and acceptance time. Where language legislation applies, its requirements and remedies prevail, including rights arising from a difference between language versions. Related documents are provided in the required language. You can save either complete version and contact support@carfix.to for assistance without a translation fee.
24. Survival
The provisions of these Terms that by their nature are intended to survive termination or expiry will survive, including Sections 1 (About CarFix and the Parties), 6.9 (Online Payments Through the Platform) with respect to payments made before termination, including refunds, chargebacks, and disputes, 8 (Shop Subscription Fees) with respect to accrued amounts, 10 (User Content), 15 (Intellectual Property), 16 (Privacy and Data), 18 (Disclaimer of Warranties), 19 (Limitation of Liability), 20 (Indemnity), 21 (Disputes Between Users), 23 (Governing Law, Jurisdiction, and Language), 24 (Survival), and 25 (General).
25. General
25.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly referenced herein (such as a Shop subscription order form, if any), constitute the entire agreement between you and INU Technologies in respect of the Platform and supersede any prior or contemporaneous understanding on the same subject matter.
25.2 Severability
If a court of competent jurisdiction finds any provision of these Terms to be unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force.
25.3 No Waiver
Our failure to enforce a provision of these Terms is not a waiver of our right to do so on a later occasion.
25.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.
25.5 Interpretation
Section headings are provided for convenience only and do not affect the interpretation of these Terms. The words “including”, “includes”, and “include” mean “including, without limitation”.
25.6 Relationship
Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and INU Technologies.
25.7 Force Majeure
We are not liable for delay or failure to perform an obligation under these Terms to the extent caused by an event beyond our reasonable control, including acts of God, natural disasters, pandemic, labour disputes, failures of telecommunications or hosting providers, denial-of-service attacks, and actions of government.
